Welcome to PestShield (“we,” “us,” “our,” or “PestShield”). These Terms & Conditions (“Terms”) govern your access to and use of our website, services, products, membership plans, and any related communications (collectively, the “Services”). By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Eligibility

We may collect the following types of information:

You must be at least 18 years old and capable of entering into legally binding contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

2. Services Offered

We offer various pest prevention, monitoring, coaching, and integrated pest management (“IPM”) services, including but not limited to:

Residential Coverage Plan
Commercial Coverage Plan
Termite awareness & prevention Coverage Plan
Coverage Plan/Subscription plans (e.g. Core Coaching, Quarterly Reviews, etc.)

Descriptions of services, deliverables, pricing, and schedules are provided on our website. We reserve the right to modify or discontinue any service at any time, with reasonable notice where practicable.

3. Use of the Website & Content

All content on the website (text, images, graphics, video, logos, etc.) is owned or licensed by us and protected by copyright, trademark, and other proprietary rights. You may view, download, or print content from the site for your personal, non-commercial use only. You may not reproduce, distribute, modify, or use the content for commercial purposes without our prior written permission.

4. Account & Subscription Membership

4.1 Registration: Membership plans require you to create an account. You are responsible for maintaining the confidentiality of your credentials and accept responsibility for all activities under your account.
4.2 Subscription Enrollment: By enrolling in a Membership Plan, you expressly authorize PestShield to enroll you in recurring auto-billing.
4.3 Automatic Charges: Your designated payment method will be automatically charged the agreed monthly or quarterly amount on your scheduled "Billing Date."
4.4 Subscription Term: Billing will continue indefinitely until canceled with a 30-day written notice in accordance with Section 6.

5. Pricing, Payments & Refunds

5.1 Fees: All fees for our Services are as stated on the website. We reserve the right to change fees for future billing cycles; however, any change will not affect Services already paid for in the current cycle.
5.2 Payment Failures: If a payment is declined, we may suspend Services. You agree to pay a late fee of $25.00 for any payment past due by more than ten (10) days.
5.3 Refund Policy: Refunds are handled on a case-by-case basis. Services already rendered are non-refundable. For pre-paid annual plans, a prorated refund may be issued minus the standard (non-discounted) price of services already performed.

6. Cancellations & Rescheduling

6.1 Cancellation Notice: You may cancel your subscription at any time; however, cancellation requires a thirty (30) day written notice. If a billing cycle falls within this 30-day window, one final payment will be processed.
6.2 How to Cancel: To ensure your request is documented, cancellations must be sent via email to [email protected].
6.3 Rescheduling: You may reschedule a service visit by providing at least 48 hours' notice. Failure to provide 48 hours' notice may result in a $50.00 "Late Reschedule" fee.
6.4 Promotional Recovery: If you received a discounted "Initial Service" based on a 12-month commitment and cancel early, you agree to pay the difference between the discounted rate and the standard full-price initial service fee.

7. Liability Disclaimer

7.1 Effectiveness: While we use reasonable efforts, we do not guarantee that pest problems or infestations will be completely prevented or eliminated.
7.2 Pre-existing Damage: We are not responsible for damage caused by pests that existed before you engaged our Services.
7.3 Limitation of Liability: To the fullest extent permitted by law, our total liability shall be limited to the amount you have paid us for the specific Services in question.

8. Indemnification

You agree to indemnify, defend, and hold harmless PestShield, its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising from:

Your violation of these Terms;
Your misuse of the Services;
Your breach of any representations or warranties.

9. Intellectual Property

All intellectual property rights in the Services and the content delivered are owned by us or our licensors. You are granted a non-exclusive, revocable license to access the Services for personal or business purposes only.

10. Privacy

Your use of the Site and our Services is also governed by our Privacy Policy, which is incorporated herein by reference. Please review the Privacy Policy to understand our practices.

11. Changes to Terms

We may revise these Terms at any time. Updated Terms will be posted on the website with a new “Last Updated” date. Your continued use of the Services after changes have been posted constitutes acceptance of the revised Terms.

12. Governing Law, Dispute Resolution & Arbitration

These Terms are governed by and shall be construed in accordance with the laws of the State of Nevada, United States. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved in North Las Vegas, Nevada, unless otherwise agreed by both parties.

By using our Services, you agree that any dispute must be handled on an individual basis and not as part of a class action or collective lawsuit. You also agree to waive your right to a jury trial.

All disputes will be submitted to final and binding arbitration under the rules of the American Arbitration Association (AAA) or another mutually agreed arbitration provider. The arbitration will take place in North Las Vegas, Nevada, and the arbitrator’s decision will be enforceable in any court of competent jurisdiction.

If you do not agree with these terms, you may choose not to use our Services. Message and data rates may apply.

13. Severability

If any provision of these Terms is found invalid or unenforceable under applicable law, such provision shall be struck, and the remainder of the Terms shall continue in full force and effect.

14. Entire Agreement

These Terms (together with any membership agreement, service agreement, or other documents expressly incorporated) constitute the entire agreement between you and PestShield concerning your use of the Services, and supersede all prior or contemporaneous understandings and agreements.
